LIMITATIONS OF SERVICES AND RELATED DISCLAIMERS: 

Life coaching / family / counseling / treatment / support / support for mental, emotional, and psychological health disorders or any other type of mental, emotional, and psychological support is not an exact science but an empirical science.

The advice and information provided by our (therapists / personal counselors / family counselors / life coaches / vocational coaches) at “get HLP” is based solely on the input, content, decisions, and information you provide, and “get HLP” does not attempt to verify the accuracy of any of this information. While (therapists / personal counselors / family counselors / life coaches / vocational coaches) working at “get HLP” will try to provide accurate and useful advice and information, due to the nature of its work, including the fact that all advice and information provided by (therapists / personal counsellors / family counselors/life coaches/career coaches) are based on the information you provide.

We cannot guarantee that such advice or information is or will be relevant, useful, correct, satisfactory, accurate, timely, complete, or appropriate to your needs.

COMMITMENT TO APPOINTMENTS AND CANCELLATION POLICY:

Due to the nature of the service, “get HLP” and all its employees undertake to abide by the dates set in advance according to the schedule with the client. Accordingly, we were not able to help all other clients at this specific date. Accordingly, the client undertakes to abide by the absolute commitment to the dates of the sessions and all services provided, provided that the service is paid In the event that the client cancels the session, the institution will try to find another date that suits the client, but it is not obligated to do so in all cases. Excluding cases of force majeure. In the event that the session date is canceled due to circumstances concerning them, the service provider does not deduct the price of the service from the customer, with full commitment to compensate it at a time that suits the customer before the date of the next session.

If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Arbitration Agreement shall continue in full force and effect.

MODIFICATIONS TO THESE TERMS OF SERVICE:

“get HLP” reserves the right, in its sole discretion change, modify, add, or remove portions, features or functions from the Services, or suspend or discontinue the Services or any portion thereof (temporarily or permanently and whether pursuant to a modification of the Services or otherwise), to modify this Agreement at any time upon posting a revised version of this Agreement on the website, the APP or the Services. Any such modified Agreement will be effective immediately upon being posted on the website, the App or the Services, and your continued use of the Services thereafter constitutes your affirmative acceptance of such modified Agreement. Otherwise, the terms of this Agreement may not be modified, in whole or in part, except by written agreement executed by an authorized signatory of “get HLP”. If you are dissatisfied with the terms of the Agreement or any modifications ,You agree that “get HLP” shall not be liable to you for any modification, suspension, or discontinuance of the Services or any features or functions thereof. Thereof, then you agree that your sole and exclusive remedy is to discontinue any use of the Services.

CONSENT:

By using the Service, you are requesting “get HLP” to disclose your personal health information online and granting you access to portions of your personal health information online, including the ability to communicate with “get HLP” and its staff on or off the Platform, and confirming that you You are solely responsible for any health information that you transmit to others, whether intentionally or unintentionally. Because “get HLP” employees other than your individual service provider may be involved in the handling of your communications, you should not use the Platform to obtain confidential information that you wish to discuss only with its employees.

LAW AND JURISDICTION:

These Terms, Conditions and Privacy Policy are governed by and construed in accordance with the Egyptian law. Any dispute arising out of or related to the information contained herein is subject to adjudication in Cairo’s (Heliopolis Court), Egypt.

GENERAL PROVISIONS:

Our website and related materials are provided for educational and informational use only. You agree to indemnify and hold harmless our website and  for any direct or indirect loss or conduct incurred as a result of your use of our website and any related communications, including as a result of any consequences incurred from technological failures such as a payment processor error(s) or system failure(s).

While we may reference certain results, outcomes or situations on this website, you understand and acknowledge that we make no guarantee as to the accuracy of third party statements contained herein or the likelihood of success for you as a result of these statements or any other statements anywhere on this website. You may use our intellectual property with clear and obvious credit back to our site, as well links back to the page where the materials, designs, images, text, quote or post is located when it is appropriate to do so.  However, you may never claim any of our intellectual property as your own or your unique creation, even with attribution.

OWNERSHIP:

As between you and “get HLP”, all title and intellectual property rights in and to the Services are owned exclusively by “get HLP”. You are a user of the Services; the Services are not sold to you. No title to or ownership of the Services, or any proprietary rights related to the Services, are transferred under or by virtue of this Agreement. “get HLP” reserves all rights in and to the Services not expressly granted to you under this Agreement. Further, this Agreement does not authorize you to use any name, trademark or logo of “get HLP”. The Services are protected by copyright laws and treaties, as well as Laws related to other forms of intellectual property rights.

CONTENT:

As between the parties, you are and will remain the sole and exclusive owner of all right, title, and interest in and to all Content, including all intellectual property rights therein and thereto, subject to the license granted herein to “get HLP”.

AVAILABLE SERVICES:

Subject to the terms of this agreement, the platform and app may be used to sign-up and pay for therapy, coaching, and class sessions provided by providers that work for “get HLP” or its associated therapeutic practices, as well as to complete one or more questionnaires designed to provide background and therapeutic history information to the therapists and to complete certain ongoing activities recommended by your therapist (collectively, the “services”). 

 

You acknowledge and agree that “get HLP” does not provide any therapeutic services, therapeutic or therapeutic advice, life coaching or diagnosis via the platform and does not make any representations, warranties, guarantees or endorsements regarding any such services or advice that you may obtain through the platform. 

 

None of the information on the platform represents or warrants that any particular drug, therapy or other treatment is safe, appropriate, or effective for you. Any such advice or diagnoses are provided either in person, over the phone or by tele-health online solution by a provider.

YOUR COMMUNICATIONS:

By using the Platform or Service you agree that:

  • You have opted into a Service that provides electronic interaction with your “get HLP” licensed therapist, life coach or instructor (“Provider”).
  • By using the Platform and opting to receive emails, text messages, and electronic communications, you acknowledge and agree that “get HLP” will be transmitting certain of your protected mental, medical, health, personal and private information as that term is defined under “MMHPP”, electronically.
  • Electronic interaction with your Provider should never be used for emergency or urgent matters.
  • “get HLP” and your Provider may send you secure messages through the Platform, which contain confidential medical information and other information important to the maintenance of your health.
  • The security of your personal health information is dependent upon you selecting a secure password for your account and safeguarding your account information including log-in and password information. We advise you to change your password frequently.
  • While “get HLP” takes measures to safeguard your security, “get HLP” cannot guarantee absolute security of the Platform against inadvertent disclosure or intentional intrusion. The use of electronic communication systems such as the world wide web (including secure messaging) for communications has a number of risks that users should consider before use. As a result of these risks, “get HLP” cannot guarantee the security and confidentiality of information submitted through the Platform and will not be liable for improper disclosure of confidential information.
  • General communications from “get HLP” (relating to your account, Service and other matters) may be by electronic means.
  • You hereby consent to receiving communications from “get HLP” in electronic form, and agree that all terms and conditions, agreements, notices, disclosures, and other communications that “get HLP” provides to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing, other than any non-waivable rights.
  • Any communications made through our ‘contact,’ blog, blog comments, newsletter sign up or other related pages, or directly to our phones or mailing or email addresses is not held privileged or confidential and is subject to viewing and distribution by third parties. We own any and all communications displayed on our website, servers, comments, emails or other media as allowed by United State’s law, and will not give credit or pay royalties for unsolicited user-generated content such as blog comments or emails.

Conditioned upon your compliance with the terms of this Agreement, “get HLP” grants you a personal, limited, nonexclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the term of this Agreement, whether accessed via an Internet browser, smartphone, tablet, or other device, (a) solely in object code form, and (b) solely via a device that meets the minimum technical requirements necessary to run the Services (as determined by “get HLP”).

Availability:

“get HLP” will employ reasonable measures to provide you with access to the Services. However, there will be occasions when the Services will be interrupted for maintenance, upgrades, emergency repairs, or due to the failure of telecommunications links or equipment or other circumstances that are beyond “get HLP” control.

CONTENT:

As used herein, “Content” means any information you transmit, upload, provide, submit, or post to the Services and any information provided by you to “get HLP” in connection with the Services, including Registration Data. You are responsible for 

  • Content submitted to the Services under your username and password, 
  • Treating your username and/or password as confidential, and not disclosing it to any third party, 
  • Ensuring that the computer or device on which you access the Services has the required minimum Internet bandwidth (upload and download), 
  • The accuracy, quality, and legality of all Content you submit to the Services and the means by which you acquired such Content, 
  • Using commercially reasonable efforts to prevent unauthorized access to or use of the Services, 
  • Promptly notifying “get HLP” in the event of any unauthorized use of or access to the Services, and 
  • Providing reasonable assistance to “get HLP” in investigating and preventing the recurrence of such unauthorized use or access. You hereby represent, warrant, and covenant that (x) you have all rights and licenses necessary with respect to your submission and the use of any Content in connection with the Services, (y) your submission and the use of any Content in connection with the Services will be in compliance with Law, and (z) you will not submit any Content to the Services that is unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise violates any third party’s rights, including intellectual property rights and/or privacy rights, or that violates this Agreement.

USE OF CONTENT:

By submitting Content to the Platform, you hereby grant “get HLP”: a royalty-free, transferable, nonexclusive, worldwide right and license to use the Content in any way necessary for the purpose of providing the Services to you, with the right to share the Content with “get HLP” service providers and agents for purposes of providing the Services to “get HLP” customers.

Registering Your Account:

In order to access certain features of the Services, you are required to register for an account (“Account”) by following the instructions on the website or App. In registering for an Account, you agree to: 

  • Provide true, accurate, current and complete information about yourself as prompted by the registration form (the “Registration Data”); and 
  • Maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You represent that you are (x) at least eighteen (18) years old; (y) of legal age to form a binding contract; and (z) not a person barred from using the Services under the laws of the United States, your place of residence or any other applicable jurisdiction.
  • You may use the Services solely for its intended purpose. Without limiting the immediately preceding sentence, you may not 
    • Share your user name or password for the Services with any other individual or allow any third party to access or use the Services, 
    • Sell, resell, license, sublicense, distribute, rent, or lease the Services, include the Services in a service bureau or outsourcing offering, or otherwise access or use the Services other than as expressly permitted hereunder, 
    • Use the Services to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy or other rights, 
    • Use the Services to store or transmit code, files, scripts, agents or programs intended to do harm, including, for example, viruses, worms, time bombs, and Trojan horses, 
    • Interfere with or disrupt the integrity or performance of the Services or third-party data contained therein, 
    • Attempt to gain unauthorized access to the Services or its related systems or networks, 
    • Copy the Services or any part, feature, function or user interface thereof, 
    • Modify, correct, adapt, translate, enhance or otherwise prepare derivative works or improvements of the Services, 
    • Access the Services in order to build a competitive product or service, or for purposes of monitoring its availability, performance or functionality, or for any other benchmarking or competitive purposes, 
    • Harvest” or collect information from the Services (including information about other users of the Services or offerings, products or services available on the Services) using an automated software tool or manually on a mass basis, 
    • Reverse engineer, disassemble, decompile, decode or otherwise attempt to derive or gain access to the source code of the Services or any component thereof, in whole or in part, except as and only to the extent such restriction is permitted by any applicable federal, state, or local laws, codes, rules, regulations, or orders of any governmental authority (“Law”), 
    • Integrate or link to any open source software or freeware with the Services, 
    • Remove any proprietary notices, labels or marks from the Services, 
    • Copy, display, reproduce, publish, license, post, transmit, modify, or distribute any information, in whole or in part, from any written guides, training materials, or tutorials provided to you in connection with your use of the Services, 
    • Permit third parties to do any of the foregoing, or 
    • Use the Platform or any Service to verify the credentials of Providers.

Mobile Services:

The Platform includes certain services that are available via a mobile device, including (i) the ability to upload content to the Platform via a mobile device and (ii) the ability to browse the Services from a mobile device (collectively, the “Mobile Services”). To the extent you access the Services through a mobile device, your wireless service carrier’s standard charges, data rates and other fees may apply. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. By using the Mobile Services, you agree that we may communicate with you regarding “get HLP” and other entities by SMS, MMS, text message or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us. In the event you change or deactivate your mobile telephone number, you agree to promptly update your “get HLP” account information to ensure that your messages are not sent to the person that acquires your old number.

App Stores:

You acknowledge and agree that the availability of the App and the Services is dependent on the third party from whom you received the App license, e.g., the Apple App Store or Google Play (“App Store”). You acknowledge that this Agreement is between you and “get HLP” and not with the App Store. “get HLP”, not the App Store, is solely responsible for App, including the content thereof, maintenance, support services, and warranty therefor, and addressing any claims relating thereto (e.g., product liability, legal compliance or intellectual property infringement). In order to use the App, you must have access to a wireless network, and you agree to pay all fees associated with such access. You also agree to pay all fees (if any) charged by the App Store in connection with the App. You agree to comply with, and your license to use the App is conditioned upon your compliance with, all applicable third-party terms of agreement (e.g., the App Store’s terms and policies) when using the App. You acknowledge that the App Store (and its subsidiaries) are third-party beneficiaries of this Agreement and will have the right to enforce them.

TERMINATION:

If at any time we feel you have violated these Terms and Conditions, then we shall immediately terminate your use of our website and any related communications as we deem appropriate. It is within our sole discretion to allow any user’s access of our website, and we may revoke this access at any time without notice, and if necessary, block your IP address from further visits to our site(s).

Subject to this section, this Agreement will remain in full force and effect while you use the Services. You may terminate your Account at any time, for any reason, by following the instructions on the App or the website or uninstalling the App. We may suspend or terminate your rights to use the Services (including your Account) at any time for any reason at our sole discretion, including for any use of the Services in violation of this Agreement. Upon termination of your rights under this Agreement, your Account and right to access and use the Services will terminate immediately. Neither “get HLP” nor its suppliers or licensors will have any liability whatsoever to you for any termination of your rights under this Agreement, including for termination of your Account or deletion of data to the extent permissible by Law. Survival of Agreement – This Arbitration Agreement will survive the termination of your relationship with “get HLP”.

TRACKING TECHNOLOGIES:

Cookies, Log Files and Web Beacons: Like many other Web sites, we make use of log files. These files merely log visitors to the site – usually a standard procedure for hosting companies and a part of hosting services’ analytics. The information inside the log files includes internet protocol (IP) addresses, browser type, Internet Service Provider (ISP), date/time stamp, referring/exit pages, and possibly the number of clicks. This information is used to analyze trends, administer the site, track user’s movement around the site, and gather demographic information. IP addresses and other such information are not linked to any information that is personally identifiable.

PROCESSING YOUR INFORMATION:

For the most part, we do not process your information in-house, but give it to third party processors for processing. For example, when PayPal takes your payment information, they are a third party processor. They process your payment and remit the funds to us. So in many instances, it will be necessary for us to transmit your information to a third party processor, as we do not have the capability to perform these functions. However, we may, from time to time, process your data internally. The legal basis for this processing is both your consent to the processing, and our need to conduct our legitimate business interests.  Our purposes in processing this information, if we do, is to administer, maintain, and improve our website and offerings, to enter into contracts with you, to fulfill the terms of those contracts, to keep records of our transactions and interactions, to be able to provide you with goods and services, to comply with our legal obligations, to obtain professional advice, and to protect the rights and interests of our , our customers (including you), and any third parties. Our website is hosted by servers located in the U.S.  Therefore, if you reside in the European Union, some of your data will be transferred internationally to those servers. We use website hosting servers/third party processors/subcontractors located in the United States and Lithuania has received an Adequacy Determination from the European Commission, meaning that appropriate safeguards are in place to protect data once it is transferred to that country.

DATA & RECORD RETENTION:

During and after the term of this Agreement, “get HLP” may 

  • Collect, retain and use any Content submitted to the Services, including usage history, in order to provide and administer the Services; however, “get HLP” will only maintain such Content to the extent required by Law; and 
  • Access, read, preserve, and disclose any Content submitted to the Services that “get HLP” reasonably believes is necessary to 
  • Satisfy any Law, legal process or governmental request, 
  • Enforce this Agreement, including investigation of potential violations hereof, 
  • Detect, prevent, or otherwise address fraud, security or technical issues, 
  • Respond to a support request, or 
  • Protect its rights, property or safety, and that of its users and the public.

We retain personal data as long as it is needed to to conduct our legitimate business purposes or to comply with our legal obligations, or until you ask us to delete your data. For example, we will retain certain personal information indefinitely for the purposes of maintaining your account, unless and until you delete your account.  Data that we gather for a specific and particular purpose, such as assisting law enforcement or analyzing trends, will not be kept for longer than is necessary for that particular purpose.  Data that is no longer needed by us for any of the purposes listed above will be permanently deleted.  

You may request that we delete your data at any time.  However, note that we cannot control the retention policies of third parties.  If you wish to have any third parties, including those to whom we’ve transmitted your data, delete that data, you will need to contact those third parties directly.  You may request from us a list of all third parties to whom we have transmitted your data.

SECURITY OF YOUR INFORMATION:

We take all reasonable steps to protect your personal data and keep your information secure.  We use recognized online secure payment systems and implement generally accepted standards of security to protect against personal data loss or misuse.  However, no security measure is foolproof, and no method of data transmission can be guaranteed against interception or misuse.  We cannot guarantee complete security of any information you transmit to us.

  3. Change Consent: You have the right to change your consent to our use of your information.  In such cases, we may require you to delete your account with us, as described above, and you may not have full access to our website.
  4. Request a Copy of Data:  You have the right to request a digital copy of the data that we hold about you.  Your first request for a copy of your personal data will be provided free of charge; subsequent requests will incur a reasonable fee.
  5. Transfer Your Data: You have the right to request that we gather and transfer your data to another controller, in a commonly used and machine readable format, unless doing so would cause us an undue burden.
  6. “get HLP” does not warrant that the services will perform error-free or without interruption; meet any performance or reliability standards; be free from bugs, viruses, harmful code, errors, or other program or system limitations (or that any errors or defects can or will be corrected); meet your requirements; achieve any intended results; or be compatible or work with any other software, applications, systems or services. “get HLP” shall have no responsibility or liability to you for downtime of the service, any breach of data security, or any personal injury, death, or property damage resulting from use of the service, failure of the service, or otherwise relating to the service.

LIMITATION OF LIABILITY:

To the maximum extent permitted by applicable law, “get HLP” will not be liable for any direct, indirect, punitive, special, consequential, or incidental damages however caused, including damages for computer malfunction, lost profits, loss or corruption of data, business interruption, and/or the cost to obtain substitute software or services arising in any way out of this agreement or the use of (or inability to use) the services, whether arising under a theory of contract, tort or any other legal theory, even if “get HLP” was advised of the possibility of such damages. In no event shall “get HLP” total liability to you for all damages exceed the amount actually paid to “get HLP” for your use of the service during the last month preceding the date the claim arose. The above limitations will apply to the maximum extent permitted by applicable law.

Any cause of action or claim you may have arising out of or relating to the service, this agreement or any order must be commenced within one year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.

INDEMNIFICATION:

You agree to indemnify, hold harmless and defend “get HLP”, including its licensees and its and their subsidiaries, affiliates, officers, directors, agents, employees, contractors, successors and assigns, from and against any and all costs, expenses, liabilities, fines, penalties, and damages, including attorneys’ fees, incurred in connection with any and all third party claims arising out of (a) your use of the Services, (b) violation of the terms of this Agreement, or (c) an allegation that any Content or Feedback or the use thereof in connection with the Services and/or other subject matter of this Agreement infringes, misappropriates or otherwise violates a third party’s intellectual property rights or violates applicable Law, or (d) an allegation that your use of the Services in violation of this Agreement infringes, misappropriates or otherwise violates a third party’s intellectual property rights or other rights, or violates applicable Law.

Waiver of Class or Other Non-Individualized Relief:

All claims and disputes within the scope of this arbitration agreement must be arbitrated on an individual basis and not on a class or collective basis, only individual relief is available, and claims of more than one customer or user cannot be arbitrated or consolidated with those of any other customer or user. If a decision is issued stating that applicable law precludes enforcement of any of this subsection’s limitations as to a given claim for relief, than then claim must be severed from the arbitration and brought into the State or Federal Courts located in New York, New York. All other claims shall be arbitrated.

Waiver of Class or Other Non-Individualized Relief:

All claims and disputes within the scope of this arbitration agreement must be arbitrated on an individual basis and not on a class or collective basis, only individual relief is available, and claims of more than one customer or user cannot be arbitrated or consolidated with those of any other customer or user. If a decision is issued stating that applicable law precludes enforcement of any of this subsection’s limitations as to a given claim for relief, than then claim must be severed from the arbitration and brought into the state or federal courts located in Cairo, Egypt. All other claims shall be arbitrated.

Authorization for Assignment of Benefits:

If you are entitled to benefits under any insurance policy or other health benefit plan (“Health Plan”), in consideration of the Services, you irrevocably assign, transfer and convey all rights and benefits payable under the Health Plan for Services rendered to you by “get HLP”. You agree to cooperate with any efforts by “get HLP” to secure reimbursement for the Services provided.  Further, you designate “get HLP” as your authorized representative. Through this assignment and designation, you authorize payment to be made directly to “get HLP”. You understand that this authorization and designation does not relieve you of financial responsibility for charges incurred by you or anyone on your behalf.  If your Health Plan sends to you the payments for the Services, you are to immediately send those payments to “get HLP”. If you fail to do so, you will be responsible for those amounts, in full, as well as any associated cost-share, deductibles, co-pay and/or co-insurance. In the event you overpay for the Services, you authorize “get HLP” to apply such overpayment to satisfy any outstanding charges you owe for the Services. This authorization does not include Health Plan payments made on your behalf. You further authorize and irrevocably assign to “get HLP” the following rights:

  1. To communicate with your Health Plan, to request any adjustment to your Health Plan’s reimbursement of the Services provided, and to file any and all necessary claims, demands, or appeals with your Health Plan arising from a denied, underpaid, or misclassified claim.  
  2. To demand and receive the production of or access to any documents and information, including but not limited to copies of Health Plan documents, coverage policies, guidelines and any other materials affecting the coverage and reimbursement of any Services provided to you, from any entity or person to the fullest extent of your rights to do so under applicable laws;
  3. To bring legal action, if needed, in any forum against your Health Plan under applicable laws, including, but not limited to the Employment Egyptian law 
  4. To recover benefits under the terms of your Health Plan, to enforce your rights under the terms of your Health Plan, or to clarify your rights to future benefits under the terms of your Health Plan;
  5. To recover the costs of pursuing such action, including reasonable attorney fees, as permitted. 

Fees and Payment Method:

In addition to the foregoing authorization for assignment of benefits, by providing a credit card or other payment method accepted by “get HLP” (“Payment Method”), you are expressly agreeing that “get HLP” and its vendors are authorized to use and share Payment Method information to charge to the Payment Method: (i) the total amount of the fees associated with the Services, together with any applicable taxes, in advance of your receipt of Services, in the event you do not elect to have your Health Plan reimburse “get HLP” for the Services; and (ii) all associated cost-share, deductibles, co-pay and/or co-insurance or amounts not paid by your Health Plan for the Services, in the event you do elect to have your Health Plan reimburse “get HLP” for the Services. “get HLP” will use third party services to process credit card information, which include additional third party terms. You agree to be bound by the applicable third party terms, as modified by the third party services provider from time to time. The applicable fee schedule and the payment terms are subject to change by “get HLP” from time to time. If the Payment Method cannot be verified, is invalid or is otherwise not acceptable, the Services may be suspended. You must resolve any payment method problems before we proceed with the Services. If a payment is not successfully settled and you do not edit your Payment Method information or cancel the Services or account, you remain responsible for any uncollected amounts and authorize us to continue billing the Payment Method, as it may be updated. All fees are nonrefundable. 

MISCELLANEOUS:

Any remedy of “get HLP” set forth in this Agreement is in addition to any other remedy afforded to “get HLP” under applicable Law or otherwise. “get HLP”’s failure to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. If any provision of this Agreement is held to be unenforceable, then that provision is to be construed either by modifying it to the minimum extent necessary to make it enforceable (if permitted by Law) or disregarding it (if not). If an unenforceable provision is modified or disregarded in accordance with this Section, the rest of the Agreement is to remain in effect as written, and the unenforceable provision is to remain as written in any circumstances other than those in which the provision is held to be unenforceable. You may not assign or otherwise transfer any of your rights or obligations under this Agreement without “get HLP”’s prior written consent. Any purported assignment in violation of this Section shall be void. “get HLP” may freely assign or otherwise transfer its rights or obligations under this Agreement. The terms and conditions of this Agreement shall apply to and be binding upon the approved successors and permitted assigns of the parties hereto. The parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between the parties. This Agreement does not and is not intended to confer any rights or remedies upon any person other than you and “get HLP”. For all purposes of this Agreement, the words “including” and “includes” mean inclusion without limitation.

YOUR FEEDBACK:

If you provide any suggestions, enhancement requests, recommendations, comments relating to the Services to “get HLP”, you agree that “get HLP” and other authorized entities may freely use, reproduce, license, distribute, and otherwise commercialize the Feedback in connection with the Services, other related technologies and/or for any other purpose, on a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual basis. “get HLP” will not be obligated to implement any Feedback or correct any defects, bugs or errors in the Services identified in the Feedback or otherwise.

SUPPORT SERVICES:

You acknowledge and agree that “get HLP” will have no obligation to provide you with any support or maintenance in connection with the Services.

You are consenting to receiving care via the service. The scope of care will be at the sole discretion of the provider who is treating you, with no guarantee of diagnosis, treatment, or prescription. The provider will determine whether or not the condition being diagnosed and/or treated is appropriate for a telehealth encounter via the service.
